Fund and Structural Services
- Joint Venture Structure and Negotiation Zephyr can assist developers and landowners with the structure and negotiation of joint ventures, in addition to making strategic introductions for partnerships. Whether the partnership is from an introduction made by Zephyr or originating elsewhere we can assist with the negotiation of deal points and the structure and documentation needed to move the partnership forward to the satisfaction of all parties involved. The most common partnership that Zephyr advises on is one in which the landowner contributes their land unencumbered to a joint venture partnership with a developer who then covers the costs of constructing a project on the land in which both parties participate in the proceeds. There are many other possible structures depending on the needs of the parties, and Zephyr can act as an impartial third party to negotiate these deal points while also creating the documents to execute the wishes of our clients.

- Capital Stack Structure The capital stack for a project or business venture may be complex or simple depending on the needs of the sponsor and the investors. Whether it is a real estate deal, an opportunity zone project, or a newly formed business, Zephyr can assist with structuring the capital stack for your project.
- Fund-Set Up & Administration Zephyr offers services to structure and set up real estate, opportunity zone, and investment funds for developers and business owners. This includes capital stack structure as described above, joint venture structure if needed, and overall deal structure along with all of the documents necessary to form a fund and seek equity. If desired, Zephyr can act as the fund GP and/or fund manager on an ongoing basis which includes quarterly reports, engaging accountants, and back office administration.
Real Estate Analytic Services
- Acquisitions Zephyr offers services to both seek out properties for developers and investors as well as negotiating acquisitions. Zephyr has a network of real estate brokers that we work with as well as having in-house brokers. (can you say this if you don’t have a license?). Zephyr specializes in negotiating land acquisitions and deals requiring syndication. Zephyr can also assist in difficult escrows, either on behalf of the buyer or seller or as an advisor to their agents.
- Proforma Creation Zephyr can create a proforma for a real estate project or business with multi-year projections and IRR calculations. Zephyr will consult with the prospective client on the purpose and complexity of the proforma needed prior to engaging. This can be done on behalf of the developer to be used as part of the prospectus for potential investors, to identify areas that need modification, or on behalf of potential investors to assess a deal.
- Project Analysis – Identification of Strengths and Weaknesses Project Analysis can be performed on behalf of investors who want impartial advice on whether or not to invest in a particular project or in the process of choosing between projects. Zephyr looks at every element of the deal and raises red flags, points out strengths and weaknesses in the deal, or points out inconsistencies in the proforma. This service can also be performed for developers who want to ensure that their offering documents are ready to be shown to investors.
Consulting
Zephyr offers consulting on qualified opportunity zone legislation at an hourly rate.
Fund Reconstruction
Zephyr may be able to restructure funds that have not been correctly set up. This is offered on a case-by-case basis subject to review.
